Delaware has remained a very popular State for entities. The State government is run more like a business than a bureaucracy. Large Fortune 500 companies are attracted to Delaware because of the respected business court (Chancery Court). Much of the modern business case law is attributed to this Court. If an entity is involved in legal matters, they can trust that the large case history will work to yield predictable and often business-friendly rulings. Small businesses can enjoy the same pro-business laws. They are also attracted to the low minimum initial filing fees (under $100) and reasonable annual State fees ($60 for corporations, $200 for Limited Liability Companies & Partnerships). The Division of Corporations that has a quick 1-2 day turnaround time, allows fax filings, works with the filing agents, has corporate friendly laws to support their efforts, and a relatively efficient government which is sensitive to the industry since a large portion of its budget is derived from it.
